JUDI GARGIULO 

Judi is a corporate lawyer, and often serves as outside general counsel and as the primary contact for her clients to help with their day-to-day legal and business needs.  Her representation can begin right from the start of a new business, with advice pertaining to business structure, management, and the respective rights and obligations of the business partners involved.  Judi also assists with structuring and negotiating deals to foster growth, whether through strategic acquisitions or through obtaining or maintaining key personnel.  She also gets involved when business ventures and relationships don’t go as planned and companies are faced with disputes within the organization between partners or disputes with third parties with which the company does business.  Her goals with dispute situations is to help facilitate or negotiate resolutions without the need for litigation. 

Judi’s experience includes business formation and structure, joint ventures, mergers and acquisitions, private securities offerings, corporate/bond financings, business workouts, nonprofit representation and drafting and negotiating contracts of all kinds.  In addition, Judi helps financial institutions and financial service companies with licensing and regulatory compliance issues and provides state agencies with review and advice on regulatory and administrative law issues.  Judi’s experience spans representing businesses in a wide variety of industries including, healthcare (physician practices, medical billing companies, medical laboratories, outpatient surgery and imaging centers), investment funds and advisers, contractors, technology companies, real estate professionals and property management companies, professional athletes and trainers, restaurants, and fashion professionals.
